These Terms of Service (“Terms”) govern your use of lisanalytics.net and any forensic engineering services provided by MCT Global Enterprises LLC, operating as LIS Analytics (“LIS Analytics,” “we,” “us,” or “our”). By accessing our website or engaging our services, you agree to these Terms. Please read them carefully before proceeding.
1. About LIS Analytics
MCT Global Enterprises LLC is a Pennsylvania Limited Liability Company operating under the trade name LIS Analytics. We provide forensic electrical engineering analysis services including power flow simulation, structural load identification, Permanent Load Reduction (PLR) quantification, and related engineering deliverables.

2. Services
LIS Analytics provides forensic engineering analysis services in four engagement tiers:

| Tier 3 | Multi-Year Partnership — Full Forensic Assessment, M&V baseline, quarterly Persistence Score™ updates and savings verification reports, annual optimization recommendations, three-year term | $2,500 flat fee + 18% of verified savings over 3 years |
Tier Selection: Client may select any tier appropriate to project scope and risk tolerance. All contingent fees are calculated on verified savings as defined by ASHRAE Guideline 14 and IPMVP Option B protocols and documented in the project-specific Statement of Work.
The specific scope, deliverables, timeline, and fee for each engagement will be confirmed in a written Engagement Agreement prior to commencement of work. These Terms are incorporated by reference into all Engagement Agreements.
3. Engagement Process
Prior to commencing any forensic engineering analysis, the following steps are required:
- Execution of a Non-Disclosure Agreement (NDA) to protect proprietary methodology
- Execution of a written Engagement Agreement specifying scope, deliverables, timeline, and fees
- Receipt of required facility data including utility billing records and facility information
- Receipt of deposit payment as specified in the Engagement Agreement
LIS Analytics reserves the right to decline any engagement at its sole discretion.
4. Payment Terms
Payment terms are as follows unless otherwise specified in the Engagement Agreement:
- Tier 1: 50% deposit due upon execution of Engagement Agreement; balance due upon delivery of report
- Tier 2 & 3: Flat fee due upon execution; performance fees invoiced quarterly following M&V verification
- Government clients: Net 30 from invoice date; purchase orders accepted
- Simplified acquisition: Tier 1 at $9,500 is purchasable via government purchase card (GPC)
Overdue invoices accrue interest at 1.5% per month. LIS Analytics reserves the right to suspend work on unpaid accounts.
5. Deliverables and Acceptance
LIS Analytics will deliver forensic engineering reports and analysis in PDF format via secure email or as otherwise agreed. Deliverables are deemed accepted unless the client provides written notice of specific deficiencies within 10 business days of delivery.
All deliverables are based on data provided by the client. LIS Analytics is not responsible for errors resulting from inaccurate, incomplete, or fraudulent data provided by the client.
6. Intellectual Property
All analytical methodology, source code, algorithms, formulas, and deliverable templates used to produce LIS Analytics reports are the exclusive intellectual property of MCT Global Enterprises LLC and/or Mica C. Tufillaro, protected by:
- Patent Pending — USPTO Application No. 64/027,496 (filed April 3, 2026)
- Copyright Registration — U.S. Copyright Office Case 1-15137906721
- Trade secret protection under the Defend Trade Secrets Act (18 U.S.C. § 1836)
Upon full payment, the client receives a non-exclusive, non-transferable license to use the forensic report deliverable for internal business purposes only. The client may NOT:
- Reproduce, resell, or redistribute the report without written consent
- Reverse engineer the analytical methodology from the deliverable
- Use the report as the basis for developing a competing product or service
- Remove or alter any proprietary notices, patent references, or copyright notices
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information exchanged during the engagement. LIS Analytics will not disclose client facility data, financial information, or operational data to third parties without written consent, except as required by law.
Client acknowledges that LIS Analytics’ methodology, algorithms, and Nodal Integrity Formula constitute trade secrets and agrees not to disclose, reproduce, or attempt to replicate the methodology. A separate Non-Disclosure Agreement will be executed prior to any technical discussion.
8. Warranties and Representations
LIS Analytics warrants that:
- Services will be performed in a professional and workmanlike manner
- All analytical results are anchored to verified U.S. and Canadian government data sources
- Methodology is validated against IEEE 13-Node Test Feeder standards
- Reports are ASHRAE Guideline 14 and IPMVP Option B compliant where applicable
Important: Forensic engineering reports represent analytical findings based on physics-based simulation and government data. Actual energy savings realized after implementation may vary based on facility conditions, operational changes, equipment performance, and other factors outside LIS Analytics’ control. Reports constitute an engineering analysis, not a guarantee of specific financial outcomes.
9. Limitation of Liability
To the maximum extent permitted by applicable law, LIS Analytics’ total liability for any claim arising from services rendered shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.
LIS Analytics shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Lost profits or business opportunities
- Damages resulting from client’s reliance on report findings without independent verification
- Delays caused by incomplete or inaccurate data provided by the client
- Force majeure events including natural disasters, government actions, or internet outages
10. Indemnification
Client agrees to indemnify and hold harmless LIS Analytics, its owner, officers, and agents from and against any claims, damages, or expenses arising from: (a) client’s use or misuse of deliverables; (b) inaccurate data provided by client; (c) client’s breach of these Terms or any Engagement Agreement; or (d) client’s violation of any applicable law or regulation.
11. Federal Government Clients
For federal government clients, these Terms are supplemented by applicable Federal Acquisition Regulations (FAR). In the event of conflict between these Terms and applicable FAR provisions, the FAR provisions shall govern. LIS Analytics is a registered SAM.gov contractor (UEI: H5F3VN9LME86, CAGE: 1Z957) in good standing.

12. Website Use
By accessing lisanalytics.net you agree to:
- Use the site only for lawful purposes
- Not attempt to gain unauthorized access to any part of the site or its systems
- Not reproduce, distribute, or create derivative works from site content without written permission
- Not submit false or misleading information through contact forms
LIS Analytics reserves the right to modify, suspend, or discontinue the website at any time without notice.
13. Termination
Either party may terminate an engagement upon 30 days written notice. Upon termination:
- Client shall pay for all work completed through the termination date
- LIS Analytics shall deliver all completed work product through the termination date
- All confidentiality and IP obligations survive termination indefinitely
- Performance fee obligations for Tier 2 and Tier 3 engagements survive termination for the original contract term
14. Dispute Resolution
The parties agree to attempt to resolve any dispute through good faith negotiation before pursuing formal legal remedies. If negotiation fails, disputes shall be resolved through binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property or confidential information.
15. Governing Law
These Terms shall be governed by the laws of the State of Arizona without regard to conflict of law principles. Exclusive jurisdiction and venue for any legal proceedings shall be in the federal or state courts of Maricopa County, Arizona.
16. Entire Agreement
These Terms, together with any executed Engagement Agreement and Non-Disclosure Agreement, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior discussions, representations, and understandings.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
18. Changes to These Terms
LIS Analytics reserves the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms. Material changes will be communicated to active clients by email.
